Terms of Service
These Terms govern your use of the Clinzovia website, your requests for appointments, and your participation in our email communications. Please read them carefully.
Plain-language summary: This site helps you learn about our services and request appointments. It is not a substitute for medical care, and it is not for emergencies. Appointment requests are requests, not confirmed bookings. Fees are published up front, but your insurance coverage is between you and your plan. Do not misuse the site or our messaging tools. If something goes wrong, these Terms explain the limits of our responsibility and how disputes are handled.
Demonstration notice: Clinzovia, as presented on this website, is a fictional clinic built to demonstrate a front-end design. No data entered on this site is transmitted to a server, stored in a database, or used to provide medical care. Any references to clinics, clinicians, licenses, or accreditations are illustrative. Do not use this site to seek actual medical care, and do not rely on its content for medical decisions.
1. Agreement to these Terms
These Terms of Service (“Terms”) form a binding agreement between you and Clinzovia (“Everwell,” “we,” “us,” or “our”) and govern your access to and use of our website, mobile-friendly pages, online forms, newsletter, and related content (together, the “Site”). By accessing the Site, submitting a request, or subscribing to our newsletter, you agree to these Terms and to our Privacy Policy.
If you do not agree to these Terms, please do not use the Site. If you are using the Site on behalf of another person, you represent that you have authority to bind that person to these Terms.
2. About this website
The Site provides general information about our services, locations, pricing, and care model, and allows you to request appointments and subscribe to email communications. Content is provided for general educational purposes. It is not a medical record, and it does not create a clinician–patient relationship on its own.
A clinician–patient relationship begins only after you have completed registration, a clinician has accepted you as a patient, and care has been scheduled or provided. Submitting a form, subscribing to the newsletter, or messaging us does not create that relationship.
3. Not medical advice; emergencies
Nothing on the Site constitutes medical advice, diagnosis, or treatment for any individual. Articles, newsletter issues, FAQs, and service descriptions are general information and may not reflect the most current research or your personal circumstances. Always seek the advice of a licensed clinician with any questions about a medical condition, and never disregard professional medical advice or delay seeking it because of something you read here.
Do not use the Site for emergencies. If you believe you are experiencing a medical emergency — including chest pain, difficulty breathing, signs of stroke, severe bleeding, a severe allergic reaction, or thoughts of harming yourself or someone else — call 911 or go to the nearest emergency department. For mental health crisis support in the United States, call or text 988.
Our nurse line provides general guidance and triage support. It is not a substitute for an in-person evaluation and cannot diagnose conditions or guarantee outcomes.
4. Eligibility & patient accounts
- You must be at least 18 years old to create an account or request services on your own behalf.
- Patients aged 13–17 may be registered by a parent or legal guardian, subject to state law and our minor consent policy.
- You agree to provide accurate, current, and complete information and to update it when it changes.
- You are responsible for maintaining the confidentiality of your portal credentials and for all activity under your account.
- Notify us immediately at contact@clinzovia.com if you suspect unauthorized access to your account.
- We may decline or terminate accounts that contain false information, are used to harass staff, or are used in violation of these Terms.
5. Appointments, cancellations & no-shows
Online appointment requests are requests only. An appointment exists once you receive written confirmation from us by email, text, or portal notification. We may decline a request if the service is not appropriate for your concern, if you are outside our licensed service area, or if a clinician is not available.
- Cancellation: we ask for at least 24 hours' notice so the slot can be offered to another patient. There is no cancellation fee for routine visits.
- Late arrival: arriving more than 15 minutes late may require rescheduling, because we do not shorten the next patient's visit to accommodate a late arrival.
- No-shows: repeated no-shows (three or more in twelve months) may result in a $50 administrative fee and a requirement to confirm by phone for future bookings.
- Program commitments: multi-week programs, including the 12-week weight management program, have specific cancellation terms disclosed before enrollment.
- Our cancellations: if we cancel a visit for reasons within our control, we will offer the next available appointment and waive any related administrative fee.
6. Telehealth consent
Some services may be provided by synchronous video or asynchronous messaging (“telehealth”). Before your first telehealth visit, you will receive a separate telehealth consent form describing the technology used, its limitations, privacy protections, and your right to withdraw consent at any time.
Telehealth has limitations. A clinician may determine that your concern requires an in-person exam, imaging, or lab work, and may end the virtual visit and refer you appropriately. Telehealth is not available for every concern or in every state; services are offered only where our clinicians are licensed to practice. Technical failures, image quality, and connectivity can affect care, and you accept these risks when you choose telehealth.
Telehealth visits are not recorded by Everwell. You may not record a visit without the clinician's express permission and the permission of any other participant.
7. Billing, insurance & payments
Published self-pay prices are listed on our services page and are subject to change with notice. Insurance coverage is determined by your plan, not by Everwell. We verify benefits as a courtesy, but verification is not a guarantee of payment.
- You are responsible for copays, coinsurance, deductibles, and any services your plan determines are not covered.
- We provide a written estimate before scheduled procedures and before starting multi-week programs.
- Statements are due within 30 days. Payment plans are available on request and are never conditioned on continuing care.
- Accounts more than 120 days past due may be referred to a collection agency after at least two written notices and a phone attempt.
- We do not report medical debt to consumer credit bureaus.
- Billing questions: billing@clinzovia.com or option 3 when calling either clinic.
Financial assistance and sliding-scale slots are available. Eligibility is based on household income and size, and requesting assistance does not affect the quality or availability of your care.
8. Prescriptions & controlled substances
Prescriptions are issued only after a documented clinical evaluation and only when medically appropriate. We do not guarantee that any specific medication will be prescribed. Our weight management program uses FDA-approved medications dispensed by licensed U.S. pharmacies; we do not prescribe compounded alternatives.
We generally do not prescribe controlled substances, including stimulants and benzodiazepines, on a first visit or through asynchronous messaging. Where a controlled substance is clinically appropriate, we follow federal and state prescribing rules, including prescription drug monitoring program checks, and require periodic in-person or video evaluation.
You agree not to seek prescriptions from multiple providers without disclosure, to use medication only as directed, and to tell us about all other medications and supplements you take.
9. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
- Submit false, misleading, or impersonating information, or request services for another person without authority.
- Harass, threaten, or abuse our staff, clinicians, or other patients, including through web forms, email, or reviews.
- Attempt to access accounts, systems, or data you are not authorized to access, or probe, scan, or test the security of the Site.
- Introduce malware, scrape content at scale, or use automated tools to submit forms or create accounts.
- Copy, modify, distribute, or create derivative works from our content except as permitted below.
- Use the Site to advertise, solicit, or promote products or services without our written consent.
We may suspend or terminate access if we reasonably believe you have violated these rules, and we may report unlawful activity to law enforcement.
10. Reviews, submissions & communications
If you submit a review, testimonial, question, photograph, or other content (“Submission”), you grant Everwell a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that Submission in connection with our services, with identifying details removed unless you give written permission to use them. You represent that you own or have permission to share the Submission and that it does not violate another person's rights.
We do not edit the substance of verified patient reviews, but we may remove content that contains personal health information about another person, is defamatory, or violates these Terms. Leaving a review is never a condition of care, and we do not offer incentives in exchange for reviews.
Email and web-form messages are not secure channels for sensitive information. Do not send Social Security numbers, insurance member IDs, full medical records, or images through general web forms. Use the secure patient portal for clinical details.
11. Intellectual property
The Site, including its text, design, graphics, logos, icons, illustrations, and code, is owned by Everwell or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws. The Everwell name and logo are our trademarks.
You may view, download, and print pages for your own personal, non-commercial use, provided you keep all copyright and proprietary notices intact. You may not republish, sell, license, or use our content to train commercial models without written permission. Short quotations with attribution and a link back to the original page are welcome.
12. Third-party links & services
The Site may link to third-party websites, research articles, maps, or scheduling tools. Those services are operated by others, and their terms and privacy practices apply. We are not responsible for third-party content, availability, or practices, and a link does not imply endorsement. If you use a third-party payment processor, laboratory, or pharmacy, their own terms apply to that transaction.
13. Disclaimers
Except where prohibited by law, the Site and all content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses, or that information on the Site is complete, accurate, or current.
We do not warrant any particular clinical outcome. Medicine involves uncertainty, individual responses vary, and no clinician can guarantee a result, including weight loss, hair regrowth, skin clearance, or dental outcomes. Estimated timelines are general expectations, not promises.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these Terms limits rights you have under applicable consumer-protection or medical-care law that cannot legally be waived.
14. Limitation of liability
To the maximum extent permitted by law, Everwell and its officers, directors, clinicians, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising from or related to your use of the Site, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for claims arising out of or relating to the Site or these Terms will not exceed the greater of (a) the amount you paid Everwell for services in the twelve months before the claim, or (b) one hundred U.S. dollars ($100).
This limitation does not apply to liability that cannot be limited by law, including liability for gross negligence, willful misconduct, or fraud, and does not limit any rights you may have as a patient under applicable state law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Everwell and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.
16. Dispute resolution & arbitration
We hope we can resolve any concern quickly. Before starting a formal proceeding, please contact us at legal@clinzovia.com with a description of the issue and your desired resolution. We will make a good-faith effort to resolve it within 30 days.
Informal resolution first. If we cannot resolve the dispute informally, you and Everwell agree to resolve it through final, binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except as described below. Arbitration will take place in Travis County, Texas, or by video if you prefer. The arbitrator may award the same relief a court could award on an individual basis.
Class action waiver. To the extent permitted by law, you and Everwell agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies. Either party may seek injunctive relief in court to prevent infringement or misuse of intellectual property. Nothing in this section prevents you from filing a complaint with a state or federal agency, including a state medical board, the Department of Health and Human Services Office for Civil Rights, or your state attorney general.
Right to opt out. You may opt out of this arbitration agreement by sending written notice to legal@clinzovia.com within 30 days of first accepting these Terms, with your name, contact information, and a clear statement that you opt out of arbitration. Opting out will not affect your ability to receive care.
17. Governing law & venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, and by applicable United States federal law. Subject to the arbitration section above, you and Everwell consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, for any proceeding not subject to arbitration. If you are a patient in Colorado, this choice of law does not limit any non-waivable rights you have under Colorado law.
18. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms with a new effective date and, where appropriate, notify registered patients by email or portal message at least 14 days before the changes take effect. Your continued use of the Site after the effective date means you accept the updated Terms.
No employee, clinician, or agent of Everwell has authority to modify these Terms orally, except in a written agreement signed by an authorized officer.
19. General provisions
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Everwell regarding use of the Site.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be limited to the minimum extent necessary.
- No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or transfer of assets, subject to the Privacy Policy.
- Force majeure: neither party is liable for delay caused by events beyond its reasonable control, such as natural disasters, public-health emergencies, or utility failures.
- Survival: provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will survive.
